1. Agreement to Terms

By accessing or using IAMCompass services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access our Services.

2. Description of Services

IAMCompass provides identity and access management (IAM) maturity assessment tools, including:

• Online IAM maturity assessments
• Customized assessment reports and recommendations
• IAM strategy consulting services
• Implementation guidance and roadmaps
• Progress tracking dashboards

3. User Accounts

3.1 Account Creation

To access certain features, you must create an account. You agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Promptly update any changes to your information
• Accept responsibility for all activities under your account

3.2 Account Termination

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent or harmful activities.

4. Acceptable Use Policy

You agree not to:

• Use the Services for any unlawful purpose
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Services
• Transmit malware, viruses, or harmful code
• Impersonate another person or entity
• Scrape or harvest data from our Services
• Use the Services to compete with us
• Share assessment results without authorization

5. Intellectual Property Rights

5.1 Our Property

All content, features, and functionality of the Services, including but not limited to text, graphics, logos, and software, are owned by IAMCompass and protected by intellectual property laws.

5.2 Your License to Use

We grant you a limited, non-exclusive, non-transferable license to access and use the Services for your internal business purposes.

5.3 Your Content

You retain ownership of any data or content you provide. By using our Services, you grant us a license to use, process, and store your content as necessary to provide the Services.

6. Payment Terms

6.1 Fees

Some Services require payment. All fees are:

• Quoted in USD unless otherwise specified
• Due upon receipt of invoice
• Non-refundable unless otherwise stated
• Subject to applicable taxes

6.2 Payment Methods

We accept major credit cards and ACH transfers. You authorize us to charge your selected payment method for all fees incurred.

6.3 Late Payments

Late payments may incur interest at 1.5% per month or the maximum rate permitted by law.

7. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary information shared during the use of Services. This includes assessment results, business strategies, and technical information.

8. Disclaimers and Warranties

8.1 "As Is" Services

The Services are provided "as is" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

8.2 No Guarantee of Results

While we strive to provide valuable insights, we do not guarantee specific outcomes from using our assessment tools or implementing our recommendations.

9. Limitation of Liability

To the maximum extent permitted by law, IAMCompass shall not be liable for:

• Indirect, incidental, special, or consequential damages
• Loss of profits, data, or business opportunities
• Damages exceeding the fees paid for the Services in the 12 months preceding the claim

10. Indemnification

You agree to indemnify and hold harmless IAMCompass, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, or expenses arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any third-party rights

11. Data Protection and Privacy

Your use of our Services is also governed by our Privacy Policy. By using the Services, you consent to our collection and use of your information as described in the Privacy Policy.

12. Modifications to Services and Terms

We reserve the right to:

• Modify or discontinue any part of the Services
• Update these Terms at any time
• Change pricing with 30 days notice

Continued use of the Services after changes constitutes acceptance of the modified Terms.

13. Termination

Either party may terminate these Terms:

• For convenience with 30 days written notice
• Immediately for material breach
• Immediately for insolvency or bankruptcy

Upon termination, your right to use the Services will cease immediately.

14. Governing Law and Disputes

14.1 Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.

14.2 Dispute Resolution

Any disputes shall be resolved through binding arbitration in Austin, Texas, under the rules of the American Arbitration Association.

14.3 Class Action Waiver

You agree to resolve disputes on an individual basis and waive the right to participate in class actions.

15. General Provisions

15.1 Entire Agreement

These Terms constitute the entire agreement between you and IAMCompass regarding the Services.

15.2 Severability

If any provision is found unenforceable, the remaining provisions will continue in effect.

15.3 Waiver

No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.

15.4 Assignment

You may not assign these Terms without our prior written consent. We may assign our rights and obligations without restriction.
